Directors are elected by the membership. No one Director can make a decision - it requires a quorum vote. The diverse group of Directors keep the guild on an even keel by reviewing and approving new policies, procedures, and programs prior to their implementation by the officers, committees, etc.

The Officers, Committee Chairs, and Project Leads create new policies, procedures, and programs, submitting them to the Directors for approval prior to their implementation. Once approved, day-to-day implementation of those plans then rests with the Officers and Committee Chairs.

Terms run from April to March.
Director terms are for 3 years. Officer terms are annual.
Committee Chair appointments are for 2 year terms, unless the appointment is "by office", in which case it is for the term of office, or for a special project committee, in which case it ends with the end of the committee.

Elections are intended to be conducted as part of the annual meeting each year. Technically, the directors are elected and the officers are appointed by the directors. In actuality, we prefer to have the officers elected also and the directors just confirm the results. HOWEVER our by-laws state that there is no need to conduct an election if there is only one candidate for a position. So unless we have two or more peole interested in running for a given spot, there will not be an election.


The Directors should be a relatively large group of vocal people from diverse wire jewelry backgrounds. Their job is to keep the guild serving the needs of all of the guild members.

Director
1) Solicits input from the membership regarding new policies and procedures.
2) Appoints Officers and Committee Chairs.
3) Reviews and approves new policies, procedures, and programs developed by the officers, committees, and project leads prior to their implementation.

Director - Chair (additional duties)
1) Schedule, plan, and run the annual meeting, which our by-laws state will be at 12:00 noon, Eastern U.S. Time, on the third (3rd) Saturday of March in each year.



The President & Vice-President should be the face of the guild to the public. Their most important tasks may be PR - getting exposure and donations for the guild and drawing new members in.

President
1) Implements policies established by the Board of Directors.
2) Provides leadership, direction, and guidance of committee activities.
3) Works with the other officers to create a business plan and operating budget.
4) Establishes and executes major goals and objectives for the corporation.
5) Analyzes and evaluates the effectiveness of operations.
6) Represents the guild to the community.

Vice President
1) Works with the President to implement policies established by the Board of Directors.
2) Works with the President to provides leadership, direction, and guidance of committee activities.
3) Works with the President and the other officers to create a business plan and operating budget.
4) Works with the President to establish and execute major goals and objectives for the corporation.
5) Works with the President to analyze and evaluate the effectiveness of operations.
6) Represents the guild to the community.



The Secretary is the head of our membership committee per our by-laws. This is the most important role for our secretary. Special focus should be placed on finding established wire artists, who are often not actively searching the web for wire art jewelry or reading wire magazines, and inviting them to join the group.

Secretary
1) Keeps a record of all proceedings, meeting minutes, and other official documents of the corporation.
2) Acts as custodian of the records and the seal of the corporation.
3) Verifies that all notices to members are given in a timely fashion.
4) Chairs the Membership Committee and verifies the membership roster is properly maintained.
5) Verifies copies of all important documents are posted in the members areas of the website for safe-keeping.


Assistant Secretary / Registered Agent
1) Receives legal documents as the registered agent.
2) Verifies copies of all important documents are posted in the members areas of the website for access by whomever might need them.



The Treasurer & Asst Treasurer verify that all accounts are kept in proper condition. Because of the hoops involved in signature cards, etc for virtual checking accounts, we will not be changing these people any more than absolutely necessary. Because we are virtual, account oversite is also possible by other officers or directors.

Treasurer
1) Maintains an accounting system that properly reflects the financial position of the corporation, including all funds, credits, and property as well as all assest, liabilities, business & transactions of the guild.
2) Researches and complys with reporting requirements for not-for-profit corporations, including those of the IRS.
3) Works with the Directors, Officers, Chairs, and Project Leads to develop an operating budget.
4) Chairs the budget and audit committee.
5) Renders a statement of the condition of the finances of the guild at all regular meetings or upon request of the Board of Directors.
6) Sends copies of all important documents to the Assistant Treasurer on an appropriate schedule (as backup) and verifies that the Assistant Treasurer is kept up to date, so that the Assistant Treasurer can substitute for the Treasurer on an as-needed basis.

Assistant Treasurer
1) Maintains a working knowledge of all of the above and takes on whatever of the above tasks is required.




Committee chairs need to be self-starters with more than just enthusiasm. They need to be able to outline committee goals, recruit members to accomplish those goals, and keep the membership up-to-date on what is happening with the committee.

Committee Chair
1) Heads the efforts of the committee appointed to.
2) Recruits and selects committee members to assist with the assigned tasks.
3) Solicits input from the membership regarding the assigned tasks. Keeps Directors and Officers informed as to direction and progress.
4) Develops policy, procedure, and program recommendations.
5) Works with the committee and officers to implement approved recommendations.
6) Oversees on-going management of the approved programs.



Project Leads need to be self-starters with more than just enthusiasm. They need to dig into the problem, do appropriate research, and figure out a solution that will work for the guild. Keeping others in the loop during this proces via bb posts will result in a stronger proposal that answers the questions that will come up. Once approval to proceed is obtained, they need to implement their project, write procedures for on-going maintenance, and pass off the maintenance to appropriate volunteers.

Project Lead
1) Researchs, plans, and creates solutions for assigned project.
3) Solicits input from the membership regarding the assigned tasks. Keeps Directors and Officers informed as to direction and progress.
4) Develops policy, procedure, and program recommendations.
5) Works with the committee and officers to implement approved recommendations.
6) Oversees on-going management of the approved programs or hands over documented procedures for on-going maintenance to appropriate committee chair.
